Forming a domestic LLC in Virginia

A domestic LLC is one whose Articles of Organization are filed in the state of Virginia. When choosing a name for your LLC, you must make sure the name does not already exist. The name must also include the words limited liability corporation, L.L.C., limited company, or L.C., and must be distinct from any other domestic or foreign LLC in Virginia. Designate an office address where LLC records will be kept. This does not have to be the company’s place of business or registered office. You will also need to designate a Virginia registered agent and registered office to receive service of process.

Submit to the Virginia State Corporation Commission an original of the company’s Articles of Organization. The State Corporation Commission will issue a Certificate of Organization as proof of filing. Also submit a $100 filing fee with the State Corporation Commission for the Articles of Organization. Research any special licenses or regulations your company may need to follow under federal or state law, including obtaining an employer identification number from the IRS.

Forming a foreign LLC in Virginia

A foreign LLC is a company that filed its Articles of Organization in a state other than Virginia, but would like to do business in Virginia. Choose a name for your LLC by checking for availability. Also submit a $25 filing fee for the Articles of Incorporation and $50 for every 25,000 shares.
