Statutory Agents

In order to do business in the United States, businesses must designate a statutory agent to receive "service of process" (e.g. a legal summons) on the company's behalf. A statutory agent also receives official paperwork related to the company, such as tax documents and filing notices. The statutory agent is responsible for receiving these communications and forwarding the information to the designated point of contact.

In many U.S. states, statutory agents are also commonly known as "resident agents" or "registered agents." Statutory representation is required by each of the 50 U.S. states in which a company operates. This applies to all business entities, regardless of their size, their configuration or their "foreign" or "domestic" status with regard to the state. Domestic companies are those that are officially organized in the state in which they are operating. Foreign companies are businesses that are officially organized in another state.

Having a statutory agent ensures that the state can reach your business at a given physical location during normal business hours. While a company may opt to serve as its own resident agent, many businesses decide to hire a third party individual or company who provides professional registered agent services. Experience in and knowledge of state commercial laws and regulations are key to ensuring that your company remains in good standing in the eyes of the state, which is critical for the continued growth and success of your business.
