Corporations in Oklahoma

A corporation is a distinct legal entity managed by a board of directors. The board has authority to make important business decisions and oversee corporate affairs. The owners of a corporation, also referred to as stockholders or shareholders, enjoy protections from liability - they are not held personally responsible for corporate debts and liabilities. This protection applies so long as the corporation complies with standard corporate governance requirements, including filing annual reports and taxes, conducting meetings with its board of directors and shareholders, and documenting business decisions via formal resolutions and corporate minutes.

Forming a Domestic Corporation in Oklahoma

To create a corporation in Oklahoma, you must select a name with one of the following words: “association,” “company,” “corporation,” “club,” “foundation,” “fund,” “incorporated,” “institute,” “society,” “union,” “syndicate,” “limited,” or an abbreviation of those terms. File two executed copies of the Certificate of Incorporation with the Secretary of State. There is a minimum $50 filing fee based on the total authorized capital stock in your corporation. An Initial Franchise Tax Form must also be submitted to the state within 30 days of incorporation.

Registering a Foreign Corporation in Oklahoma

A foreign corporation in Oklahoma is one that has been formed in another state, but would like to do business in Oklahoma. There is no restriction on corporate names in Oklahoma. There is a $10 fee for reserving a name, which is good for 60 days. File one original and one conformed copy of the Certificate of Qualification with the Oklahoma Secretary of State, along with a Certificate of Existence from your original state of incorporation. An executed copy of the Initial Franchise Tax Return must also be filed with the Oklahoma Tax Commission at the time of qualification or within 30 days of qualification. There is a minimum $30 filing fee. Consult state regulatory requirements for the amount your corporation owes.

Forming a Domestic Limited Liability Company in Oklahoma

A Limited Liability Company (LLC) is a business entity in which the liability of company owners is limited. LLCs are similar to corporations in that they enjoy limited liability, but they also allow members to avoid the formalities of managing a corporation (ie, filing annual reports and holding shareholder meetings). The names of all newly formed LLCs must contain the words, “limited liability company,” “limited company,” or any of the following abbreviations: “L.L.C.,” “LLC,” “L.C.,” or “LC.” The term “limited” may be abbreviated as “LTD” and the term “company” may be abbreviated as “CO.” If your business name is available, you may pay a $10 fee to reserve it for 60 days. You must also submit duplicate copies of the Articles of Organization to the Oklahoma Secretary of State. The filing fee is $100.

Registering a Foreign Limited Liability Company in Oklahoma

The requirements and procedure for reserving a name for your foreign LLC is the same as with domestic LLCs. You may pay a $10 fee to reserve a business name for 60 days.  File duplicate executed copies of the Application for Registration with the Oklahoma Secretary of State, along with a Certificate of Existence from the state where your LLC was first organized. The filing fee is $30 and should be made payable to the Oklahoma Secretary of State.
