Whether you are forming a new company (domestic) in the State of New York or registering an out-of-state company (foreign) to do business in New York, you will need to choose a registered agent to represent your company. Below are brief guidelines for how to go about forming or registering either a corporation or a limited liability company (LLC) for business in the State of New York.
The name you select for your LLC in New York must contain the words, “Limited Liability Company,” or one of the abbreviations: “L.L.C.” or “LLC.” Consult Section 204 of the Limited Liability Company Law for a list of prohibited words or phrases. Designate a registered agent in New York and a registered office where your company will receive service of process from the state. Send the NY Department of State an executed copy of the Certificate of Organization, which the Department will file and issue a filing receipt. Submit a $25 fee for filing the Certificate, made payable to the New York Secretary of State.
The name you select for your LLC in New York must meet the same standards as domestic LLCs (see above). Designate a registered agent in NY state and a registered office where your company will receive service of process from the state. Send the NY Department of State the following documents:
Within 120 days of filing the Application for Authority, remember to publish a copy of the application once a week for six consecutive weeks in two newspapers of the county in which the foreign LLC is located. Also file with the NY Department of State an affidavit of publication, as issued by the newspapers. Submit a $250 fee for filing the Certificate of Authority, along with a $25 fee per affidavit of publication from each of the two designated newspapers. Checks should be made payable to the New York Secretary of State.
The name you select for your corporation in New York must contain one of the following words: "corporation," "incorporated," "limited," "corp.," "inc.," or "ltd." Consult Section 301 of the Business Corporation Law for a list of prohibited words or phrases. Designate a registered agent in New York and a registered office where your company will receive service of process from the state. Send the NY Department of State an executed copy of the Certificate of Incorporation, which the Department will file and issue a filing receipt. Submit a $25 fee for filing the Certificate of Incorporation, along with a minimum organization tax of $10. See state fee schedule to determine the exact amount your corporation owes.
The name you select for your foreign corporation must meet the same standards as domestic corporations (see above). Designate a New York State registered agent and a registered office where your company will receive service of process from the state. Send the NY Department of State the following documents:
Submit a $225 fee for filing the Certificate of Authority. The check should be made payable to the New York Secretary of State.
