Doing Business in Kentucky

All companies operating in Kentucky - whether corporations or limited liability companies (LLC) - can have one of two identities: “domestic” or “foreign.” Domestic companies are those that filed their Articles of Organization or Incorporation with the Kentucky Secretary of State. Foreign companies in Kentucky are those that filed their Articles in another state, but wish to conduct business within Kentucky state borders.

See below for the requirements when forming a new company or registering to do business in Kentucky.

Domestic LLCs: The name of your domestic LLC must include the words “limited liability company,” “limited company,” or an abbreviation of those terms. The company must have an office where its records will be kept, though it does not necessarily have to be its place of business or registered office. The Secretary of State requires that you send one original and two copies of your Articles Organization. The Secretary will file the original and return the two file-stamped copies. File one of these copies with the County Clerk where your registered office is located. The Secretary of State charges a $40 filing fee; the County Clerk charges $8 for the first three pages and $2 for each additional page.

Domestic Corporations: The name of your domestic corporations must contain the words "corporation," "incorporated," "company," "limited," "corp.," "inc.," "co.," "ltd." or an abbreviations of those terms. The process for filing your Articles of Incorporation is the same as for domestic LLCs (see above). Your submission to the County Clerk should also include the name, address, and signature of the attorney who prepared the document. The Secretary of State charges a $40 filing fee; the County Clerk charges $8 for the first three pages and $2 for each additional page. Also prepare payment for an organization tax, based on the below rate structure:

AUTHORIZED SHARE STRUCTURE RATE

Not exceeding 20,000 shares: 1¢ per share.
Exceeding 20,000 shares but 200,000 shares $200 plus 1/2¢ ($.005) per exceeding share in excess of 20,000 shares
Exceeding 200,000 shares $1100 plus 1/5¢ ($.002) per share in excess of 200,000 shares.

Foreign LLCs: Foreign LLCs must meet the same name requirements as domestic LLCs (see above). If your name is already taken in the State of Kentucky, you may file a Certificate of Fictitious Name along with your registration documents. The Secretary of State requires that you send one original and two copies of your Articles Organization. The Secretary will file the original and return the two file-stamped copies. File one of these copies with the County Clerk where your registered office is located. The Secretary of State charges a $90 filing fee; the County Clerk charges $8 for the first three pages and $2 for each additional page.

Foreign Corporations: Foreign corporations must meet the same name requirements as domestic corporations (see above). Submit to the Secretary of State a certificate of existence or similar document issued by your state of origin, along with an original and two copies of your Application for Certificate of Authority. The Secretary will return two file-stamped copies. File one of these copies with the County Clerk where your registered office is located. The Secretary of State charges a $90 filing fee; the County Clerk charges $9 for the first three pages and $2 for each additional page. Note that a foreign corporation will be penalized $2 per day for each day it transacts business in the state without a proper certificate of authority.
