Limited Liability Company in Iowa

The two most prominent business entities are Limited Liability Companies and Corporations. A Limited Liability Company, LLC is a business entity that offers its owners limited personal liability for the debts and actions of the LLC.

Domestic LLC: Prior to filing your domestic LLC, you must come up with name for your company, making sure that it contains the words "Limited Liability Company," or "LLC." For a fee of $10, any available name may be reserved for a 120-day period. An executed copy of the Articles of Organization and a check for $50 must be submitted to the Iowa Secretary of State.

Foreign LLC: If you conduct business in another state and wish to do business in Iowa, you must follow the filing procedures for a foreign LLC. Similar to a domestic LLC, the name of your company must include the words "Limited Liability Company," or "LLC" and can be reserved for 120 days for a fee of $10. An executed copy of the Application for Certificate of Registration of Foreign Limited Liability Company and a check for $100 must be submitted to the Iowa Secretary of State.

Corporation in Iowa

A corporation, also sharing the benefit of limited liability, is one an entity that is given many rights separate from its owners. Corporation can sue and be sued, borrow money, execute contracts and open bank accounts.

Domestic Corporation: Your domestic corporation must include in its name, "corporation," "incorporated," "company," "limited," or the abbreviations "corp.," "co.," or "ltd." Any available corporate name can be reserved for a period of 120 days for a fee of $30. One executed original and one copy of the Articles of Incorporation must be submitted to the Iowa Secretary of State In addition, the Initial Annual Report for the corporation must be submitted to the Secretary of Revenue. Together, fees total to $125.

Foreign Corporation: When filing a foreign corporation in Iowa, a first step is to be sure the corporate name contains either the word "corporation," "incorporated," "company," "limited," or their respective abbreviations. A certificate of existence and an original copy of the Application for Certificate of Authority must be submitted to the Iowa Secretary of State along with a filing fee of $100. A foreign corporation operating in Iowa without a Certificate of Authority will be liable for penalties up to $1,000.
