Instructions for Forming a Domestic Company in Indiana
Starting a new business in Indiana requires different steps for limited liability companies (LLC) and corporations. Companies whose Articles of Organization/Incorporation are filed in the State of Indiana are considered “domestic” companies.

Name Requirements: LLC names must include the phrase “limited liability company” or an abbreviation of that phrase. Corporation names must include the words, “corporation,” “incorporated,” “company” or “limited,” or an abbreviation of one of those terms.

Filing Instructions: New LLCs and corporations must send two copies of their Articles of Organization or Incorporation to the Indiana Secretary of State - one original and one copy of the Articles. The Secretary of State will file the original version and return the copy to you.

Filing fee: The filing fee is $90 for both LLCs and corporations. Checks should be made payable to the Indiana Secretary of State.

Instructions for Registering Foreign Companies in Indiana
Registering your out-of-state business for operation in Indiana also requires different steps for LLCs and corporations. Companies whose Articles of Organization/Incorporation are filed outside of Indiana are considered “foreign” companies.

Name Requirements: Company names for both foreign LLCs and corporations must meet the same requirements as domestic companies (see above).

Filing Instructions: LLC applicants must provide the Indiana Secretary of State with a Certificate of Good Standing or Existence from their state of origin. Corporation applicants must provide a Certificate of Existence from their home state within 60 days of filing. Both LLCs and corporations must send a copy of their Application for Certificate of Authority; LLCs should also provide an original version of the Application.
