Domestic Companies

Domestic companies in District of Columbia, are those that filed their Articles of Organization or Incorporation with the government of DC. Below are general steps required for forming two types of companies in DC: limited liability companies (LLCs) and corporations. 

 

LLCs: The name of your company must include an LLC identifier, such as "Limited Liability Company" or an abbreviation. Generate an Articles of Organization and file two original copies with the DC government, along with a $150 check made payable to the DC Treasurer. You will also need to designate a registered agent to represent your company.

 

Corporations: The name of your company must include a corporate identifier, such as "Corporation," "Incorporated," or an abbreviation of these terms. Generate an Articles of Incorporation and file two original copies with the District of Columbia government, along with a $185 check made payable to the District of Columbia Treasurer. You will also need to designate a registered agent to represent your company.

 

Foreign Companies

Foreign companies in District of Columbia, are those that filed their original Articles of Organization or Incorporation with a state other than the District of Columbia. To operate in District of Columbia, all foreign companies must register for a certificate of authority to do business. Below are general steps required for registering two types of companies in District of Columbia: LLCs and corporations.

 

LLCs: The name of your company must include an LLC identifier, such as "Limited Liability Company" or an abbreviation. Complete your Application for Certificate of Authority and file two original copies with the DC government, along with a $200 check made payable to the DC Treasurer. Also include a Certificate of Good Standing issued by your state of origin. The certificate must be less than 30 days old. You will need to designate a registered agent to represent your company.

 

Corporations: The name of your company must include a corporate identifier, such as "Corporation," "Incorporated" or an abbreviation of these terms. The same instructions apply for registering a corporation for business in DC (see above).
